1. Introduction & Acceptance

Welcome to Infinite Q Graphics ("Company," "we," "our," "us"). By accessing our website, requesting a quote, or engaging our services, you ("Client," "you," "your") agree to be bound by these Terms and Conditions.

These terms constitute a legally binding agreement between you and Infinite Q Graphics. If you do not agree with any part of these terms, please do not use our services or website.

2. Services Provided

Infinite Q Graphics specializes in:

All services are provided on a project-by-project basis. Also - all graphic design projects (print ready files) excludes printing unless otherwise agreed upon in writing.

3. Client Responsibilities

To ensure successful project completion, the Client agrees to:

• Content Delivery: Provide all necessary content, copy, images, logos, and brand guidelines within agreed timelines.
• Timely Feedback: Review and provide feedback on deliverables within 5-7 business days. Delays may affect project timelines.
• Decision Making: Appoint a single point of contact for approvals to streamline communication.
• Access: Grant necessary access to hosting platforms, social media accounts, or CMS when required.
• Legal Compliance: Ensure all content provided does not infringe on third-party copyrights or trademarks.

4. Project Process & Timeline

Our standard project workflow:

Timelines provided in quotes are estimates and may be adjusted based on project complexity, feedback speed, and scope changes.

5. Pricing & Payment Terms

• Quotes: All quotes are valid for 14 days from the date of issue unless otherwise stated.
• Deposit: A 50% non-refundable deposit is required to commence work. This secures your place in our schedule and covers initial concept development.
• Final Payment: The remaining 50% is due upon completion and before final file delivery or website launch.
• Currency: All prices are in South African Rand (ZAR) and include VAT where applicable.
• Invoicing: Invoices are sent via email. Payment is due within 7 days of the invoice date.
• Late Payments: Projects may be paused on overdue invoices. Interest of 2% per month may be applied to outstanding balances.

6. Intellectual Property Rights

Before Final Payment:

Infinite Q Graphics retains full intellectual property rights to all concepts, drafts, and preliminary work. These may not be used, modified, or published without written consent and full payment.

After Final Payment:

Upon receipt of full payment, the Client receives:

• Exclusive ownership of the final deliverables (Logos; Flyers; Posters etc)
• Unlimited use for commercial and personal purposes
• Right to modify the final work (design skills recommended)

© Our Rights:

We reserve the right to:

• Display the project in our portfolio and social media
• Include the work in design competitions and publications
• Retain archive copies for record-keeping

If you require a non-disclosure agreement (NDA) or wish to exclude your project from our portfolio, please inform us before project commencement.

7. Revisions & Approvals

• Included Revisions: All projects include 2 rounds of revisions. Additional revisions are billed at our standard hourly rate of R450/hour.
• Scope Creep: Requests that significantly change the original project scope will be requoted as a separate project or phase.
• Final Approval: Written approval (email is acceptable) of final deliverables releases the project for final payment and file delivery.
• Corrections: Minor typographical errors will be corrected free of charge within 7 days of delivery.

8. Confidentiality

We take your privacy seriously. Infinite Q Graphics agrees to:

• Keep all client information, business data, and project details strictly confidential
• Never share your login credentials, passwords, or sensitive information
• Not disclose your project to third parties without your express permission (excluding subcontractors bound by the same agreement)

9. Cancellation & Refunds

• Client-Initiated Cancellation: Deposits are non-refundable as they compensate for time reserved and initial work completed. Work completed beyond the deposit will be invoiced at our hourly rate.
• Company-Initiated Cancellation: We reserve the right to cancel a project with a full refund of any payments made if we determine the project scope exceeds our expertise or conflicts with our values.
• Refunds: Due to the custom nature of our services, refunds are not issued for completed work or digital deliverables.

10. Website and System Development Terms

10.1 Quotations and Acceptance

• Prices displayed on the Infinite Q Graphics website are indicative only and may change. A formal website package quotation or bespoke proposal will be provided in response to the Client's enquiry.
• Unless stated otherwise in writing, quotations are valid for 30 days from the date of issue. Any applicable VAT or other taxes will be identified in the quotation. The pricing and tax treatment stated in the accepted quotation will apply.
• Once the proposed solution and scope have been agreed, Inifinite Q Graphics will issue a formal Website or System Development Contract for the Client's written acceptance. Work will commence after acceptance and satisfaction of the agreed payment requirements.

10.2 Planning, Design and Approval

• Inifinite Q Graphics will arrange a planning meeting or briefing process to understand the Client's requirements. The Client must provide complete and accurate answers, content, materials and instructions to the best of their knowledge.
• Where appropriate, Inifinite Q Graphics will prepare a visual sitemap or equivalent project outline identifying the main pages, features and proposed content. The Client must approve this outline in writing before development begins.
• Where design options or themes are included in the accepted package or proposal, Inifinite Q Graphics will present suitable options. The Client must confirm their selection in writing before development begins.
• The selected design may be adapted to reflect the Client's supplied logo, brand colours and brand assets. Custom brand fonts or other theme changes may be limited by licensing restrictions, technical compatibility or the design integrity of the selected theme. Any such limitations will be discussed where relevant.
• Changes requested after design approval, changes to the agreed brief after planning, or work outside the accepted scope may be charged at Inifinite Q Graphics's applicable hourly rate or separately quoted rate. Additional meetings or visits not included in the quotation may also incur additional charges.

10.3 Existing Websites and Systems

• For work on a website or system not originally developed by Infinite Q Graphics, the Client must provide the administrative access reasonably required for assessment before a quotation can be confirmed.
• Inifinite Q Graphics is not responsible for pre-existing coding errors, omissions, vulnerabilities, missing updates, expired subscriptions, or other issues caused by the Client, a previous developer, or a third-party provider before Inifinite Q Graphics's involvement.

10.4 Client Review and Responsibilities

• The Client is responsible for reviewing content and deliverables at each stage, including spelling, grammar, contact details, pricing, functionality and other supplied information, and for reporting errors before approving the work.
• The Client must ensure that all content, images, logos, data and other materials supplied for the website or system may lawfully be used and do not infringe third-party rights.

10.5 Website Access and Development Files

• Where the website uses an editable platform, such as WordPress, Inifinite Q Graphics will provide the agreed access after launch. The level of access and editable areas will depend on the platform and the scope agreed in the quotation.
• Access to source code, development files, server controls or full administrative permissions is not automatically included unless specified in the accepted proposal or separately agreed in writing.
• After the Client or another provider has been given access to development files or administrative controls, Inifinite Q Graphics is not responsible for subsequent unauthorised or unintended changes, file loss, data loss, or faults caused by those changes. Restoring a backup or repairing resulting damage may be charged at the applicable rate.

10.6 Domain Registration, Hosting and Self-Hosting

• Domain registration and hosting are separate services and are chargeable separately unless expressly included in the accepted quotation or service package. Recurring fees, renewal dates and service inclusions will be stated in the applicable proposal or agreement.
• The Client is welcome to purchase and register their own domain name, select their own hosting provider, and self-host the website or system. The Client may manage these services independently and is not required to purchase hosting or domain services through Infinite Q Graphics.
• If the Client chooses to self-host or use another provider, the Client is responsible for purchasing and maintaining the domain and hosting account, paying the provider's fees, maintaining account access and security, and ensuring the chosen environment meets the website or system's technical requirements.
• At the Client's request, Inifinite Q Graphics may assist with deployment or transfer to the Client's chosen provider. Such work must be included in the quotation or may be charged separately. Inifinite Q Graphics is not responsible for the performance, policies, outages, security practices or actions of an independent provider.
• Where a temporary test or staging site is hosted by Inifinite Q Graphics at the Client's request, any applicable hosting charges and the date from which they begin will be disclosed and agreed with the Client in advance.

10.7 Hosting, Renewal and Availability

• Where Infinite Q Graphics supplies hosting or domain management under a separate agreement, the applicable agreement will specify the fees, renewal period, included services and cancellation process. Unless otherwise stated in that agreement, recurring services renew for successive 12-month periods unless either party gives written notice of termination before renewal, in accordance with the agreement.
• Inifinite Q Graphics will use reasonable efforts to maintain hosting availability where hosting is supplied by Inifinite Q Graphics, but uninterrupted service cannot be guaranteed. Outages may arise from maintenance, infrastructure faults, cyber incidents, third-party providers or other circumstances outside Inifinite Q Graphics's reasonable control.
• Where an outage is directly caused by an error attributable to Inifinite Q Graphics and a service credit or refund is applicable under the hosting agreement, the remedy will be limited to the amount and method expressly set out in that agreement, subject to applicable law.
• Inifinite Q Graphics is not liable for hosting or server failures caused by independent providers, or for resulting indirect losses, loss of profit, business interruption or lost business opportunities, to the extent permitted by applicable law.

10.8 Backups, Security and Maintenance

• Backup services, if any, are limited to those specifically included in the accepted quotation or hosting agreement. The Client should maintain independent, offsite copies of important website files, images and data.
• The Client is responsible for keeping passwords and access credentials secure, using secure devices and connections, and promptly notifying Inifinite Q Graphics of suspected unauthorised access.
• Unless ongoing maintenance is included in a separate agreement, website and system development projects are delivered on completion in the condition described in the accepted scope. Future updates, troubleshooting, support, backups, security monitoring and other maintenance may be quoted or charged separately.
• Inifinite Q Graphics is not responsible for defects or vulnerabilities in third-party themes, plugins, integrations, hosting infrastructure or software outside its control. Where agreed, Inifinite Q Graphics may recommend alternatives or carry out updates and repairs at its applicable rate.
• Inifinite Q Graphics will take reasonable care when performing agreed work but cannot guarantee that a website or system will be entirely free from errors, security incidents or service interruptions.

10.9 Compatibility and Search Engine Optimisation

• Browser testing will be carried out against the current versions of commonly used browsers, where relevant to the agreed scope. Older or unsupported browsers and devices may not be compatible.
• Basic on-page search engine optimisation is included only where stated in the quotation or package. Inifinite Q Graphics does not guarantee particular search rankings, visitor numbers, sales, leads or business outcomes.

10.10 Copyright and Third-Party Services

• Copyright and ownership of work produced by Inifinite Q Graphics are governed by Section 6 of these Terms and Conditions and any applicable written agreement.
• Third-party themes, plugins, fonts, stock images, APIs and other services may be subject to separate licences, subscription fees and terms of use. The Client is responsible for recurring third-party costs and licences allocated to them in the accepted proposal.

11. Third-Party Services

Our projects may utilize third-party tools, plugins, stock imagery, and fonts. The client is responsible for:

• Purchasing appropriate licenses for stock images, fonts, or premium plugins
• Adhering to the terms of service of third-party platforms (Shopify, WooCommerce, WordPress.org, etc.)
• Ongoing subscription costs for software or services

We will clearly outline which third-party assets require purchase and any recurring fees.

12. Limitation of Liability

• Infinite Q Graphics shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
• Our maximum liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
• We do not guarantee that our websites will be error-free, uninterrupted, or permanently secure.

13. Indemnification

The Client agrees to indemnify and hold Infinite Q Graphics harmless from any claims, damages, or expenses arising from:

• Content provided by the client that infringes on third-party copyrights or trademarks
• Client modifications to the final deliverables after project completion
• Use of the final product in violation of applicable laws

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under these Terms shall be resolved in the courts of South Africa.
